Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Systemifai ("Systemifai," "we," "us," or "our"), a company located in Westminster, Maryland. By accessing our website at systemifai.com, contacting us by phone or SMS, submitting a contact form, booking a consultation, or engaging us for services, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use our website or services.
2. Description of Services
Systemifai designs, builds, and deploys custom AI automation systems for service businesses. Our offerings include, but are not limited to:
- AI Phone Answering: Automated voice systems that answer inbound calls, qualify leads, and route or schedule on your behalf.
- SMS Auto-Reply: Automated text message response systems that communicate with leads and customers around the clock.
- Conversational Intelligence: Wearable AI recorder integration that transcribes field consultations or sales meetings and generates proposals, summaries, and follow-up materials.
- Google Review Automation: Automated workflows that prompt satisfied customers to leave Google reviews.
- Social Media Management: AI-assisted content creation, scheduling, and publishing for service business social accounts.
- AI Quoting Assistance: Tools that help field technicians generate estimates and proposals faster and more accurately.
Specific deliverables, timelines, and fees for each engagement are defined in a separate written agreement or proposal between Systemifai and the client. These Terms apply broadly and supplement any such project-specific agreements.
3. Service Area
Systemifai operates primarily within the Baltimore-Washington corridor and surrounding regions of Maryland. While we may engage clients outside this geography on a case-by-case basis, our default service area and primary focus is the mid-Atlantic region. All agreements are governed by the laws of the State of Maryland regardless of the client's location.
4. AI-Generated Content Disclaimer
A core component of Systemifai's technology stack involves artificial intelligence. You acknowledge and agree to the following:
- Responses are AI-generated. Content produced by our AI systems — including chat replies, SMS messages, voice call responses, proposal drafts, and social media posts — is generated by machine learning models and may not be reviewed by a human before delivery.
- Not professional advice. Nothing communicated by Systemifai's AI systems constitutes legal, financial, engineering, medical, or other licensed professional advice. AI-generated estimates, proposals, and recommendations are starting points, not authoritative determinations.
- Errors are possible. AI systems can produce inaccurate, incomplete, or contextually inappropriate output. We make no warranty that any AI-generated content is free of errors or suitable for any particular purpose.
- Human review is your responsibility. You are responsible for reviewing AI-generated outputs before acting on them, sharing them with customers, or relying on them for business decisions.
5. SMS Terms and Conditions
By sending a text message to (443) 233-0124, or by providing your phone number and consenting to SMS communication through any of our channels, you agree to the following:
- Consent to automated messaging. You consent to receive AI-generated and automated SMS responses from Systemifai regarding your inquiry, our services, and follow-up communications. Responses may be sent at any hour.
- Message and data rates may apply. Standard carrier messaging and data rates apply to all text messages sent and received. Systemifai is not responsible for carrier charges.
- Opt out at any time. Text STOP to (443) 233-0124 to stop receiving automated SMS messages. You will receive one final confirmation message. After opting out, you may opt back in by texting START.
- Help. Text HELP to (443) 233-0124 for assistance, or contact us at hello@systemifai.com.
- No third-party sharing. We do not share your phone number with third parties for marketing purposes.
SMS services are provided through Twilio. Message delivery is subject to carrier availability and Twilio's platform terms. We cannot guarantee delivery of every SMS message.
6. Phone Call Recording Consent
Maryland law (Md. Code, Courts & Judicial Proceedings, Section 10-402) requires the consent of all parties before a telephone conversation may be recorded.
When you call or receive a call from Systemifai at (443) 233-0124, you will be notified at the beginning of the call that the conversation may be recorded. By continuing the call after that notification, you provide your consent to recording.
Recordings are used for quality assurance, AI training and improvement, transcript generation, and the production of follow-up materials. You may request not to be recorded at any time, and we will make reasonable efforts to accommodate that request.
7. Client Responsibilities
When engaging Systemifai for services, you agree to:
- Provide accurate and complete information about your business, systems, and workflows
- Obtain any required consents from your own customers before deploying AI-powered communication tools on their behalf
- Comply with applicable laws and regulations in your industry and jurisdiction, including those governing automated messaging, call recording, and consumer communications
- Review AI-generated content before using it with your customers
- Not use Systemifai's systems for any unlawful, deceptive, or harmful purpose
8. Intellectual Property
All content on systemifai.com — including text, graphics, logos, and code — is the property of Systemifai and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our website content without our express written permission.
AI systems and custom automations we build for clients are governed by the intellectual property provisions of the applicable project agreement. Unless otherwise specified in writing, client engagements result in a license to use the delivered system, not a transfer of ownership of the underlying technology.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Systemifai and its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to:
- Your use of or inability to use our website or services
- AI-generated content that is inaccurate, incomplete, or inappropriate
- Delays or failures in SMS or voice communication systems
- Loss of leads, revenue, or business opportunities resulting from system downtime or errors
- Actions taken or not taken based on AI-generated recommendations
In all cases, Systemifai's maximum aggregate liability to you for any claim arising out of these Terms or our services shall not exceed the total fees paid by you to Systemifai in the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the greatest extent permitted by law.
10. Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without warranty of any kind, express or implied. We expressly disclaim all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.
11. Third-Party Services
Our services depend in part on third-party platforms including Anthropic, Twilio, Vapi, HubSpot, Cal.com, and Resend. Systemifai is not responsible for the availability, accuracy, or performance of these third-party services. Downtime or changes to third-party platforms may affect our ability to deliver services, and such events do not constitute a breach by Systemifai.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or our services shall be resolved in the state or federal courts located in Carroll County or Baltimore County, Maryland, and you consent to the personal jurisdiction of those courts.
Before initiating any formal legal proceeding, you agree to contact us in good faith at hello@systemifai.com to attempt informal resolution of any dispute.
13. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised effective date. Material changes will be communicated where feasible. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
